Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Teacher Marking Assistant ("we", "us", "our") regarding your use of the Teacher Marking Assistant web application, desktop application, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a school, organisation, or other entity, you represent that you have authority to bind that entity to these Terms.

2. Who can use the Service

The Service is intended for qualified teachers and school staff for the purpose of marking and managing student exam papers. You must:

You sign in via Google, Microsoft, or Apple OAuth. We do not store passwords. You are responsible for keeping your authentication credentials secure and for all activity under your account.

If you believe your account has been compromised, sign out on all devices (Settings → Sign Out) and change your Google/Microsoft/Apple password immediately, then contact us.

4. Your content and licence to us

You retain ownership of all data you upload or enter into the Service ("Your Content"), including student records, scanned papers, annotations, grades, and class information. We do not claim ownership of Your Content and we do not use it for advertising, analytics, or AI-model training.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, process, and back up Your Content solely for the purpose of providing the Service to you. This licence lasts only as long as Your Content is stored in the Service and terminates when you delete it or close your account.

The Service, including its source code, design, logos, trademarks, documentation, and the name "Teacher Marking Assistant", is owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service in accordance with these Terms.

You may not remove or obscure any copyright, trademark, or proprietary notice from the Service, reverse-engineer or decompile the Service, or use it to build a competing product.

7. Third-party services

The Service integrates with Google Drive, Google Cloud Vision, Gmail, Microsoft OneDrive, and Firebase. Your use of those services is governed by their own terms:

We are not responsible for the availability, accuracy, or behaviour of third-party services. If you revoke OAuth grants or cancel the underlying subscriptions, related features of the Service will stop working.

8. Beta and experimental features

The Service and specific features within it may be labelled as "beta", "experimental", or "preview". These features are provided for testing purposes, may be unstable, may change or be removed at any time, and are excluded from the availability commitments in Section 10. Use them at your own risk and maintain external backups of any data you rely on.

9. Fees and subscriptions

Paid tiers are described on our pricing page. Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date. You may cancel at any time in your account settings; cancellation takes effect at the end of the current billing period.

Fees are exclusive of VAT and other applicable taxes, which will be added where required by law. Refunds are at our discretion except where required by consumer protection law.

We may change our pricing with at least 30 days' notice to existing paying customers. New pricing applies from the next renewal after the notice period.

10. Availability and changes

We provide the Service on a commercially reasonable "as available" basis. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance or unforeseen outages may temporarily affect availability.

We will provide at least 30 days' notice before discontinuing the Service entirely, to give you time to export your data. Beta features (see Section 8) are excluded from this commitment.

11. Export and data portability

You may export all of Your Content at any time via Settings → Manual Export / Import → Export All Data. The export is provided in JSON format containing classes, students, papers metadata, annotations, and page images.

You may also permanently delete all of Your Content via Settings → Danger Zone → Reset All Data. This action cannot be undone.

12. Feedback

If you send us ideas, suggestions, improvements, or other feedback about the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without obligation to you. This does not apply to personal data, which remains subject to our Privacy Policy.

13. Warranties and disclaimer

Except as expressly stated in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that grades, scores, statistics, or OCR results calculated by the Service are always accurate. Teachers remain professionally responsible for the final grading decisions they make using the Service.

14. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) £50.

We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of data, loss of reputation, loss of teaching time, loss of revenue, or loss of anticipated savings, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

You agree to indemnify and hold us harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

You may stop using the Service at any time. To delete your account and all associated data, use Settings → Danger Zone → Reset All Data and then email Teacher Marking Assistant to remove your identity record from Firebase.

We may terminate or suspend accounts that violate these Terms, with 14 days' notice where practicable (immediately for serious violations or security concerns). On termination, Sections 4 (your content licence — for pending deletion), 5 (our IP), 12 (feedback), 13 (warranties), 14 (liability), 15 (indemnity), and 19–24 (general) survive.

17. Force majeure

Neither party is liable for failure or delay in performing its obligations under these Terms (other than payment obligations) if the failure is caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, utility or internet outages, third-party service failures, cyberattacks, pandemics, or actions of government authority. The affected party will use reasonable efforts to mitigate the impact and resume performance as soon as practicable.

18. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, reorganisation, or sale of substantially all of our assets, with written notice to you.

19. Notices

Formal legal notices to us must be sent in writing to Teacher Marking Assistant with the subject line "LEGAL NOTICE". Notices to you will be sent to the email address associated with your account. A notice is deemed received on the next business day after it is sent.

20. Relationship of the parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us. Each party acts as an independent contractor. Where we process personal data about your students on your behalf, we do so as a data processor and you act as data controller — see our Privacy Policy and, where applicable, our Data Processing Agreement.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

22. No waiver

Our failure or delay in exercising any right or remedy under these Terms does not constitute a waiver of that right or remedy. A waiver in one instance does not waive future exercise of the same right or remedy.

23. Entire agreement

These Terms, together with our Privacy Policy and any Data Processing Agreement we have signed with you, constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous agreements, representations, or communications.

24. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection law grants you the right to bring a claim in your local courts.

25. Changes to these Terms

We may update these Terms to reflect legal, technical, or business changes. The "Last updated" date at the top reflects the most recent revision. Material changes will be notified to registered accounts by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
